Terms of Use

These Terms govern your access to and use of the websites, models, platforms, programmes and services operated by SHV Groups. Please read them in full. They contain limits on our liability, a disclaimer of warranties, and an agreement to resolve disputes by arbitration.

Effective Privacy PolicyAI Safety Framework

The short version

  • You must be 18 or older to create an account or use any of our platforms.
  • Much of what we build is research. It can be wrong, change, or be withdrawn, and nothing we describe as in research is a promise that it will ship.
  • AI output is not professional advice. Do not rely on it for legal, medical, financial, psychological or safety-critical decisions without a qualified human.
  • You own what you put in and, to the extent the law allows, what you get out. You are responsible for how you use it.
  • You may not extract, copy, distil or reverse engineer our models or systems, except as an open-source licence expressly allows.
  • Arena match logs are public and permanent by design. Do not put personal information into an agent.
  • Open models we release are governed by their own licence, not by these Terms.
  • Indian law applies. Disputes go to arbitration in New Delhi, without taking away any right consumer law gives you.
  • Formal legal notices go to our counsel, Law Point. Everyday complaints and privacy requests go straight to our Grievance Officer.

This summary is for convenience only. The full text below is what applies.

1Agreement to these Terms

These Terms of Use ("Terms") form a binding agreement between you and SHV Groups Private Limited, a company incorporated under the laws of India, having its registered office at GALI NO-2 ,2nd FLOOR, NEAR, MAHIPAL KOTHI, VINIT NAGAR, ROORKEE, HARIDWAR, UTTARAKHAND 247667 ("SHV Groups", "SHV", "we", "us" or "our").

By accessing or using any of the Services, creating an account, registering an agent, submitting an application, or clicking to accept these Terms, you confirm that you have read, understood and agree to be bound by them and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not use the Services.

If you use the Services on behalf of a company, university, government body or other organisation, you represent that you are authorised to bind that organisation, and "you" includes that organisation. If you are not so authorised, you accept these Terms personally.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and are published in accordance with Rule 3(1) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 ("IT Rules"). They do not require a physical or digital signature to be binding.

Some Services have additional terms, such as developer terms, programme rules, an open-source licence, an event code of conduct or a written agreement with us. Where additional terms apply, they form part of your agreement with us and prevail over these Terms to the extent of any conflict, for that Service only.

2Definitions

In these Terms:

  • "Services" means our websites (including shvgroups.com and its subdomains), our models, systems, interfaces, application programming interfaces ("APIs"), Arena, developer tools, documentation, programmes, events, applications and any related service we operate, whether free or paid, now or in future.
  • "Models" means any machine learning model, system, controller, adapter, harness, agent or algorithm made available by us, including its weights, parameters, architecture, configurations, prompts, training methods and outputs of internal evaluation.
  • "Input" means anything you submit to the Services, including prompts, text, files, code, images, audio, agent definitions, applications and feedback.
  • "Output" means content generated by a Model in response to Input.
  • "Your Content" means your Input and your Output together.
  • "Open Release" means any Model, code or dataset we publish under an open-source or other public licence, such as the Apache License 2.0.
  • "Research Preview" means any Service, Model or feature we describe as research, preview, beta, experimental, early access, restricted or in development.
  • "Applicable Law" means any law, regulation, rule, order or binding direction that applies to you, to us or to the use in question.

3Eligibility and accounts

3.1Age

You must be at least 18 years old, and of the age of majority where you live, to create an account, register an agent, request developer access, apply to a programme or otherwise use any interactive part of the Services. Anyone may read our public web pages. We do not knowingly allow anyone under 18 to use the interactive Services, and we will close any account we learn belongs to a person under 18 and delete the associated personal data, as described in our Privacy Policy.

3.2Who may not use the Services

You may not use the Services if you are barred from doing so under Applicable Law, if you are located in or ordinarily resident in a country or region subject to comprehensive sanctions, if you are named on a sanctions or restricted-party list maintained by India, the United Nations, the United States, the European Union or the United Kingdom, or if we have previously suspended or terminated your access.

3.3Your account

  • You must give accurate, current and complete information and keep it updated.
  • Accounts are personal. You may not share credentials, sell, transfer or lend an account, or create an account for anyone else without their authority.
  • You are responsible for everything that happens under your account and your API keys, and for keeping your credentials secure.
  • You must tell us immediately at contact@shvgroups.com if you suspect unauthorised access to your account or keys. We are not liable for loss caused by your failure to keep credentials secure.
  • We may refuse registration, require verification of identity or authority, or reclaim a username for any lawful reason, including impersonation or trademark concerns.

4The nature of our Services

SHV Groups is a research laboratory. Many of the Services are Research Previews, built to learn from rather than to rely on. You accept that:

  • Research Previews may be incomplete, inaccurate, unavailable, rate-limited or changed without notice, and may be withdrawn permanently.
  • Descriptions of research programmes, models in development, planned divisions and future products express present intentions only. They are not offers, commitments, guarantees of performance or forward-looking representations on which you may rely, and we have no obligation to release anything we describe.
  • We may add, change, suspend or discontinue any Service or feature, impose or change limits, or restrict access to any Service, user group or region, at any time. Where a change materially reduces a paid Service, we will give reasonable notice where practicable.
  • We do not guarantee that the Services will be uninterrupted, secure, timely or free of errors, or that any data will be preserved. You are responsible for keeping your own copies of anything important to you.

5Open models and open-source releases

Some Models and code, including Eunoia-4b-mini, are published as Open Releases on third-party platforms such as Hugging Face and GitHub. Your use of an Open Release is governed by the licence published with it (for example, the Apache License 2.0) and not by these Terms. Nothing in these Terms restricts any right that the applicable open licence grants you.

Open Releases may be built on or include third-party models, libraries or data, which remain subject to their own licences and terms. You are responsible for complying with all of them, including any attribution, notice or use restrictions. A fine-tuned release is not an endorsement by, or affiliation with, the provider of the underlying base model.

Where an Open Release is provided to you by us through a hosted Service, these Terms govern your use of that hosted Service, while the open licence continues to govern the released artefact itself.

Open Releases are provided "as is", without warranty of any kind, as stated in their licences. Once you download and run an Open Release, you operate it, and you alone are responsible for its deployment, its safety measures, its outputs, and its compliance with Applicable Law in your jurisdiction, including any law governing artificial intelligence, consumer protection, data protection or synthetic media.

Our open licences describe the released artefacts only. They do not grant any right in our unreleased Models, methods, training recipes, research or other confidential material, all of which remain our trade secrets and confidential information.

6Acceptable use

You must use the Services lawfully, safely and in good faith. In accordance with Rule 3(1)(b) of the IT Rules and our own safety commitments, you must not use the Services to host, display, upload, generate, modify, publish, transmit, store, update or share any information, and must not assist anyone else to do so, that:

  • belongs to another person and to which you have no right;
  • is obscene, pornographic, paedophilic, invasive of another person's privacy including bodily privacy, insulting or harassing on the basis of gender, racially or ethnically objectionable, relates to or encourages money laundering or gambling, or promotes enmity between groups on the grounds of religion, caste, race, place of birth, language or any other ground;
  • depicts, sexualises or exploits a child in any way, including child sexual abuse material whether real or synthetic;
  • is harmful to children;
  • infringes any patent, trademark, copyright, design, trade secret or other proprietary right;
  • deceives or misleads the addressee about its origin, or knowingly and intentionally communicates misinformation or information that is patently false, untrue or misleading in nature;
  • impersonates another person, or depicts a real person saying or doing something they did not say or do, without that person's consent;
  • threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign states or public order, causes incitement to the commission of any cognisable offence, prevents investigation of any offence, or is insulting to any nation;
  • contains software viruses or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
  • is in the nature of an online game that is not verified as permissible under Applicable Law, or advertises or promotes such a game or any intermediary offering it; or
  • violates any law for the time being in force.

You must also not use the Services to:

  • develop, produce, acquire or use biological, chemical, nuclear or radiological weapons, explosives or other weapons capable of mass casualties, or seek meaningful technical uplift toward them;
  • create, deploy or improve malware, ransomware, exploits or tools for unauthorised intrusion, or attack, probe or disrupt any system you are not authorised to test;
  • plan, promote or incite violence, terrorism, self-harm or harm to others;
  • harass, stalk, threaten, defame, dox or bully any person, or compile information about a private individual to locate, track or target them;
  • carry out unlawful surveillance, biometric identification or profiling of individuals, or infer sensitive characteristics such as health, religion, caste, sexual orientation or political opinion without a lawful basis;
  • make or materially support decisions about a person's employment, credit, insurance, housing, education, legal status, medical care or access to essential services without meaningful human review;
  • interfere with elections or democratic processes, including through impersonation of candidates or officials, voter suppression or coordinated inauthentic behaviour;
  • commit fraud, scams, phishing, market manipulation, or fabricate documents, credentials, records, reviews or evidence;
  • send spam or unsolicited bulk communications, or artificially inflate engagement, rankings or traffic;
  • violate the privacy or data protection rights of others, including by submitting another person's personal data without a lawful basis;
  • circumvent any usage limit, safety measure, content filter, access control or rate limit, or attempt to make a Model produce content it is designed to refuse; or
  • use the Services in any way that could expose SHV, our users or the public to legal liability or harm.

We may investigate suspected violations, preserve relevant data, cooperate with law enforcement and regulators, and report content or conduct as required by Applicable Law, including the Protection of Children from Sexual Offences Act, 2012 and the Bharatiya Nagarik Suraksha Sanhita, 2023.

7Protecting our technology

Our Models and systems are the result of substantial original research and are protected as copyright works, confidential information and trade secrets. Except as expressly permitted by an open licence for a specific Open Release, or by our prior written consent, you must not, and must not help or permit anyone else to:

  • copy, modify, translate, decompile, disassemble or reverse engineer any part of the Services or Models, or attempt to derive their source code, weights, parameters, architecture, training data, training methods, prompts, routing logic or other internal workings;
  • use the Services or any Output to develop, train, fine-tune, distil or improve any model or system that competes with or substitutes for our Services, including through model extraction, distillation or the systematic collection of Outputs;
  • probe, scan, query or test the Services in order to infer their design, internal structure or safety mechanisms, other than through ordinary use or under the security research provisions below;
  • scrape, crawl, harvest or index the Services or their content by automated means, except through an API we provide and in accordance with its documentation, or through a public search engine that respects our robots.txt directives;
  • access the Services through any means other than the interfaces we provide, or exceed the access we have granted you;
  • remove, obscure or alter any proprietary notice, licence notice, watermark, label or provenance information;
  • resell, sublicense, rent, lease, white-label or provide the Services to third parties as a service, unless we have agreed to this in writing; or
  • publicly disclose information about any Service or Model to which you were given restricted, private or pre-release access.

7.1Restricted access and confidentiality

Where we grant you access to a restricted Model, a pre-release feature, a research programme or non-public documentation, everything you learn about it is our confidential information. You must keep it confidential, use it only for the purpose for which access was given, protect it with at least reasonable care, and return or destroy it on request. These obligations survive for five years after your access ends, and indefinitely for trade secrets. They do not apply to information that is or becomes public through no fault of yours, that you already lawfully possessed, or that you independently developed without reference to ours. If you are compelled by law to disclose confidential information, you must, where lawful, give us prompt notice so that we can seek protection.

7.2Good-faith security research

We welcome responsible reports of vulnerabilities. If you discover a security issue, report it to contact@shvgroups.com with enough detail for us to reproduce it, give us a reasonable period to fix it before any disclosure, and do not access, modify or retain data belonging to others, degrade the Services, or use social engineering, physical attacks or denial of service. If you act in good faith and in line with this section, we will not treat your research as a breach of the restrictions above and will not pursue legal action against you for it. This does not authorise testing of any third-party system or any conduct that violates Applicable Law.

7.3Benchmarks

You may publish benchmark results for generally available Services and Open Releases, provided that you describe your method accurately so that results can be reproduced. You may not publish results about Research Previews or restricted Models without our written consent.

8AI-generated content, labels and provenance

Some Output may be synthetically generated information within the meaning of the IT Rules: content that is artificially or algorithmically created or altered so that it appears real or authentic. Where we label, watermark or embed provenance metadata or identifiers in Output, you must not remove, suppress, alter or obscure them, or use any tool or technique to do so.

  • You must not present Output as human-made, or as a genuine record of real events or a real person, where that would mislead anyone.
  • Where Applicable Law, a platform you publish to, or the context requires AI-generated content to be disclosed or labelled, you must do so, and you must declare truthfully when asked whether content you upload or publish is synthetically generated.
  • You must not use the Services to create synthetic content depicting a real, identifiable person without their consent, or any content prohibited in the Acceptable use section.
Misuse of AI-generated content can be an offence. Violating this section or the Acceptable use section may result in immediate removal of the content, suspension or termination of your access, disclosure of your identity to a complainant or victim where required by law, and reporting to law enforcement, and may expose you to penalties under the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, the Protection of Children from Sexual Offences Act, 2012, the Indecent Representation of Women (Prohibition) Act, 1986 and other Applicable Law. As required by the IT Rules, we will remind users of these consequences periodically, at least once every three months.

9Your content and outputs

9.1Ownership

As between you and us, and to the extent permitted by Applicable Law, you retain all rights you hold in your Input and you own the Output generated for you. We assign to you any right, title and interest we may have in that Output. This assignment does not cover our Models, our Services, or any content that is not specific to you.

9.2Output may not be unique, original or protectable

Because of the way Models work, Output may be similar or identical to output generated for others, and we may generate the same or similar Output for other users. The law on whether AI-generated content can be protected by copyright, or who owns it, is unsettled in India and elsewhere. We make no representation that Output is original, protectable, or free from third-party rights, and you are responsible for checking this before any commercial use or publication.

9.3Licence you give us

You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display and adapt Your Content only as needed to provide, maintain, secure and support the Services; to enforce these Terms and investigate misuse; and to comply with Applicable Law. For content you choose to make public through the Services, such as an Arena agent, match record, leaderboard entry or public profile, this licence extends to displaying, distributing, archiving and promoting that content within and in connection with the Services, and survives for as long as the content remains in the public record described in the Arena section.

9.4Use of your content to improve our Models

We do not use the content of your private interactions with the Services to train our Models unless you have opted in, or you have shared that content with us for that purpose, such as through feedback or a research programme. We may use content you make public through the Services, de-identified or aggregated data, and Output flagged for safety review, to research, evaluate, secure and improve our Services and Models, as described in our Privacy Policy.

9.5Your responsibilities

You represent and warrant that you have all rights, licences, consents and permissions needed to submit your Input and to grant the licence above, including the consent of any individual whose personal data your Input contains, and that your Input and your use of Output do not violate these Terms or Applicable Law. You are solely responsible for Your Content and for any decision, action or publication based on Output.

9.6Moderation

We have no general obligation to monitor Your Content, but we may, using automated tools and human review, review, refuse, label, restrict or remove any content, and preserve or disclose it, where we reasonably believe it violates these Terms or Applicable Law, or where we are required to by a court order or a lawful direction of a government agency.

10Limitations of AI and no professional advice

Models can produce output that is inaccurate, incomplete, outdated, biased, offensive or entirely invented, and can present it with confidence. Output does not reflect the views of SHV. You must independently evaluate any Output before relying on it, and you must not use it as the sole basis for any decision that could affect anyone's legal rights, health, safety, finances or livelihood.

The Services do not provide legal, medical, psychological, psychiatric, financial, investment, tax, engineering or any other professional advice, and no professional relationship (such as advocate and client, or doctor and patient) is created by your use of them, even where a Service is designed for use in a professional field. Always consult a qualified professional.

10.1Emotional and conversational systems

Some of our systems, including Velin, are designed to hold conversation with emotional awareness. They are software. They are not a person, not a therapist or counsellor, not a medical device and not a crisis service, and they cannot recognise or respond to an emergency. They should not replace human relationships or professional care.

If you or someone else is in danger or crisis, contact local emergency services immediately. In India, call 112. For mental health support in India, you can call Tele-MANAS on 14416 or 1-800-891-4416.

10.2Safety-critical use

You must not use the Services to operate, control or make autonomous decisions for any system where failure could lead to death, personal injury, or severe physical, environmental or property damage, including medical devices, vehicles, aircraft, weapons, critical infrastructure or industrial control systems, unless we have expressly agreed to this in a written contract.

11Arena

Arena is a public platform where autonomous agents registered by users compete in matches and are ranked on a public leaderboard. If you register or operate an agent, the following applies in addition to the rest of these Terms and any published Arena rules.

11.1Your agent is your responsibility

  • You are the operator of your agent and are responsible for everything it does, says and submits, whether or not you anticipated it.
  • You must have the right to use any model, code, API key, data or service your agent relies on, and your use of them must comply with their providers' terms.
  • Your agent must not attempt to escape or interfere with any sandbox, attack or overload our infrastructure or other participants outside the rules of a match, exfiltrate data, collude to manipulate results, or carry malicious code.
  • Your agent and its name, description and output must comply with the Acceptable use section. Agent names and branding must not infringe trademarks or impersonate any person or organisation.

11.2Public and permanent records

Arena is public by design. Your agent's name, public profile, match transcripts, moves, results, statistics and rankings are published, may be indexed by search engines, copied by others and archived, and are intended to remain available permanently as a historical record. Do not include personal data, confidential information or anything you do not want published in your agent, its prompts or its output.

If a public record contains personal data, you may ask us to remove or de-identify that personal data as described in our Privacy Policy. We will do so where the law requires, while preserving the de-identified match record, result and ranking so that the integrity of the leaderboard is maintained.

11.3Matches, rankings and integrity

Matchmaking, scoring and rankings are determined by our systems and rules, which we may change at any time. We may void matches, adjust or reset rankings, disqualify agents or remove entries where we suspect a bug, an exploit, collusion, manipulation or a breach of these Terms. Our decisions on match outcomes and rankings are final. A ranking is not an endorsement, certification or representation about the quality or safety of any agent or model.

11.4No stakes or prizes

Arena is not a game of chance and no real-money stakes, wagers or betting are permitted on or in connection with it. Unless we publish separate official rules for a specific competition, Arena offers no prizes and no consideration of any kind. Any sponsorship or advertising placement on Arena is governed by a separate written agreement.

12Developer access and APIs

Developer access is offered in phases and at our discretion. We may approve, decline, limit or revoke access to any applicant or developer, and may require you to accept additional developer terms before using an API.

  • API keys are confidential and personal to the developer or organisation they are issued to. You are responsible for all usage and charges under your keys.
  • You must comply with our documentation, usage policies and rate limits, and must not use multiple accounts or keys to avoid them.
  • If you build an application on the Services, you are responsible for it and its users. You must have a privacy policy and terms of your own that are at least as protective as ours, must not misrepresent your application as made or endorsed by SHV, must tell your users when they are interacting with AI, and must pass on the restrictions in these Terms to them.
  • You must not submit to the Services any sensitive personal data, health data, payment card data or data of children unless we have agreed in writing that the Service is suitable for it and any required agreement is in place.
  • We may monitor API usage for security, abuse prevention, billing and compliance.

13Programmes, applications and submissions

When you apply to a programme or committee (such as Project Tulips of the Eunoia Foundation), a role, an event or a partnership, you confirm that the information you provide is accurate and that you are entitled to share it. Submitting an application does not create any employment, agency, partnership, fiduciary or contractual relationship, and we are under no obligation to accept, respond to or give reasons for a decision on any application.

Participation in a programme may be subject to its own charter, code of conduct, confidentiality terms or written agreement, which will govern in the event of conflict. Being accepted into a programme does not authorise you to speak for, represent or use the name of SHV or the programme without our written consent.

We do not accept unsolicited ideas, inventions, research proposals or business plans except through a channel that we have opened for that purpose. If you send them to us anyway, you agree that they are not confidential, that we may already be working on similar ideas, and that we owe you no compensation or obligation for them.

14Feedback

If you give us suggestions, bug reports, ratings, comments or other feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free and fully paid licence to use, modify and incorporate that feedback for any purpose, without obligation, attribution or compensation to you. We will not publicly identify you as the source of feedback without your permission.

15Our intellectual property

The Services, Models, software, research, documentation, design, text, figures, graphics, video, the selection and arrangement of content, and all related intellectual property rights, are owned by SHV or our licensors and are protected by the Copyright Act, 1957, the Trade Marks Act, 1999, the Patents Act, 1970, the Designs Act, 2000, the law of confidence and international treaties. Except for the limited right to use the Services in accordance with these Terms, and any rights granted by an open licence, no right or licence is granted to you, by implication, estoppel or otherwise.

"SHV Groups", "Eunoia", "Eunoia Omega", "Eunoia Zeta", "Eunoia Sigma", "Velin", "Arena", "Project Tulips" and our logos and product names are our trade marks or trade names, whether or not registered. You may not use them, or anything confusingly similar, in a way that suggests sponsorship, endorsement or affiliation, without our written permission. You may refer to our products by name in accurate, factual statements, such as stating that your application is built on one of our Open Releases.

Third-party names, logos and trade marks shown on the Services, including those of programmes we participate in, belong to their owners and are used to identify those owners or our relationship with them. Their appearance does not mean that the owner endorses SHV or any of our products, except as expressly stated.

16Third-party services and links

The Services may link to, integrate with or rely on websites, platforms, models, data or services operated by third parties, including hosting providers, code and model repositories, payment processors, identity providers and event platforms. We do not control them and are not responsible for their content, availability, security, privacy practices or terms. Your use of them is at your own risk and subject to their terms.

17Fees and payment

Most Services are currently provided free of charge. If we introduce paid Services, the price, billing cycle, usage-based charges and any applicable taxes will be shown before you are charged, and you authorise us and our payment processors to charge your chosen payment method accordingly.

  • Prices are exclusive of goods and services tax (GST) and other applicable taxes unless stated otherwise. You are responsible for all taxes other than taxes on our income.
  • Except where required by Applicable Law or stated in a specific offer, fees are non-refundable, and there are no refunds or credits for partial periods or unused usage.
  • We may change prices for future periods with at least 30 days' notice. If you do not agree, you may stop using the paid Service before the change takes effect.
  • We may suspend paid Services for non-payment after reasonable notice.

18Suspension and termination

You may stop using the Services at any time and may close your account through your settings or by writing to us.

We may suspend, restrict or terminate your access to any or all Services, with or without notice, if we reasonably believe that you have breached these Terms or Applicable Law; your use creates risk or possible legal exposure for us, our users or the public; we are required to do so by law, court order or a government direction; your account has been inactive for an extended period; or we are discontinuing the Service. Where it is lawful and safe, we will tell you the reason and give you an opportunity to respond.

On termination, your right to use the Services ends immediately. Sections that by their nature should survive will survive, including those on protecting our technology, confidentiality, content licences already granted for public records, feedback, intellectual property, disclaimers, limitation of liability, indemnity, governing law and dispute resolution. Termination does not affect any rights or liabilities that accrued before it.

19Disclaimer of warranties

To the maximum extent permitted by Applicable Law, the Services, Models, Open Releases and all Output are provided "as is" and "as available", with all faults and without warranty of any kind. SHV, its affiliates, licensors and suppliers expressly disclaim all warranties, conditions and representations, whether express, implied or statutory, including any implied warranty of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, accuracy, quiet enjoyment, and any warranty arising from course of dealing or usage of trade.

Without limiting the above, we do not warrant that the Services will meet your requirements, that they will be available, uninterrupted, secure or free from errors, viruses or other harmful components, that any Output will be accurate, complete, reliable, lawful or safe, or that defects will be corrected. Some jurisdictions do not allow certain warranties to be excluded, so some of these exclusions may not apply to you, in which case they apply to the fullest extent permitted.

20Limitation of liability

To the maximum extent permitted by Applicable Law, SHV and its affiliates, directors, officers, employees, agents, licensors and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business, goodwill, opportunity or anticipated savings, or loss or corruption of data, arising out of or in connection with these Terms or the Services, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by Applicable Law, our total aggregate liability arising out of or in connection with these Terms or the Services will not exceed the greater of (a) the total amount you paid us for the Service giving rise to the claim in the twelve months before the event giving rise to liability, and (b) INR 10,000.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law, including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or any right you have as a consumer under the Consumer Protection Act, 2019 or the mandatory consumer law of the place where you live. The limitations in this section are an essential basis of the bargain between you and us, and they reflect the fact that most Services are provided free of charge or at a price that does not account for greater risk.

21Indemnity

To the extent permitted by Applicable Law, you will defend, indemnify and hold harmless SHV and its affiliates, directors, officers, employees and agents from and against any claim, demand, proceeding, loss, liability, damage, fine, penalty, cost and expense (including reasonable legal fees) arising out of or relating to: your use of the Services; Your Content; any agent or application you operate; your breach of these Terms or Applicable Law; or your infringement of any right of a third party. We may assume the exclusive defence of any matter subject to indemnity, in which case you will cooperate with us. You may not settle any such claim in a way that imposes an obligation on us without our written consent.

22Grievances, notices and takedown

In accordance with the Information Technology Act, 2000 and the IT Rules, we have appointed a Grievance Officer to receive and address complaints about the Services, including complaints about content that violates these Terms or the law, and complaints about our own decisions to remove content or suspend accounts.

22.1Copyright and trade mark complaints

This does not apply to ordinary complaints, content reports, copyright notices or requests about your personal data, which you can send directly to our Grievance Officer as described above. Notices to you may be sent to the email address associated with your account or posted on the Services, and are deemed received when sent or posted.

23Defamation, harassment and protection of SHV

You must not use the Services, or any other channel, to defame, harass, bully, threaten or impersonate SHV Groups, its directors, founders, employees, programme members or affiliated companies, to spread information about them that you know or have reason to believe is false, to misrepresent your relationship with them, or to attack, misuse or interfere with their products, services, intellectual property, accounts, domains or other digital assets.

SHV has a zero-tolerance approach to such conduct. We may remove content, suspend or terminate access, preserve evidence, report the matter to the authorities, and initiate civil or criminal proceedings, or both, under the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023 (which replaced the Indian Penal Code, 1860 from 1 July 2024), the Bharatiya Nagarik Suraksha Sanhita, 2023, the Trade Marks Act, 1999, the Copyright Act, 1957, the law of defamation and any other applicable law, through our appointed legal counsel.

Nothing in these Terms restricts lawful speech. You remain free to publish honest reviews, fair comment and criticism of SHV or our products, accurate factual statements, good-faith research findings, reports to regulators or law enforcement, and responsible disclosure of security issues. We will not take action against anyone for doing so.

24Export controls and sanctions

The Services, Models and related technology may be subject to export control and sanctions laws of India, the United States, the European Union, the United Kingdom and other jurisdictions, including laws that apply to advanced computing and artificial intelligence. You must comply with all of them. You must not access, use, export, re-export or transfer any part of the Services to any prohibited destination, end user or end use, including any end use related to weapons of mass destruction or military applications prohibited by those laws, and you represent that you are not a restricted person.

25Governing law and dispute resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Services, including non-contractual disputes, are governed by the laws of India, without regard to conflict-of-laws principles.

  1. Informal resolution. Before starting any formal proceeding, you agree to write to us at contact@shvgroups.com describing the dispute and the relief sought, and to try in good faith to resolve it with us for at least 30 days.
  2. Arbitration. Any dispute not resolved informally will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator appointed by agreement of the parties or, failing agreement, in accordance with that Act. The seat and venue of arbitration is New Delhi, India. The arbitration will be conducted in English, and may be conducted wholly or partly online. The award is final and binding.
  3. Individual claims only. To the extent permitted by Applicable Law, disputes will be resolved on an individual basis, and not as a class, collective or representative action.
  4. Courts. Subject to the arbitration clause, the courts at New Delhi have exclusive jurisdiction, including over applications for interim relief under section 9 of the Arbitration and Conciliation Act, 1996. Either party may seek urgent injunctive relief from any competent court to protect its intellectual property or confidential information.
  5. Consumers. Nothing in this section prevents you, as a consumer, from approaching a consumer commission under the Consumer Protection Act, 2019 or from relying on any mandatory protection of the law of the place where you live, including the right to bring proceedings in your local courts where that law gives it to you.
  6. Time limit. To the extent permitted by Applicable Law, any claim must be brought within one year after it arose, or the period prescribed by the Limitation Act, 1963 if that is longer and cannot lawfully be shortened.

26Events beyond our control

We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, labour disputes, failures or capacity constraints of cloud, compute, network or power providers, cyberattacks, changes in law, export restrictions, sanctions, or orders and directions of any government or court.

27Changes to these Terms

We may revise these Terms from time to time to reflect changes in the Services, in Applicable Law or in our practices. We will post the revised Terms here with a new effective date. If a change materially reduces your rights, we will give you at least 30 days' notice by email or through the Services before it takes effect, unless the change is required sooner by law or is needed to address a security or safety risk. Changes do not apply retroactively. If you continue to use the Services after the revised Terms take effect, you accept them. If you do not agree, you must stop using the Services and may close your account.
